• We reserve the right to suspend services for non-payment
• All fees are non-refundable unless otherwise specified in writing

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives the termination of services and continues for a period of five years unless otherwise specified in a separate confidentiality agreement.

Confidential information does not include information that is publicly available, independently developed, or rightfully obtained from third parties without confidentiality obligations.

9. Warranties and Disclaimers

9.1 Service Warranty

We warrant that our professional services will be performed in a professional and workmanlike manner consistent with industry standards. This warranty is limited to a period of 90 days from service delivery unless otherwise specified in a service agreement.

9.2 Disclaimer of Warranties

Except as expressly stated in a service agreement, our services and website are provided on an AS IS and AS AVAILABLE basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that our services will be uninterrupted, error-free, or completely secure, or that defects will be corrected.

10. Limitation of Liability

To the maximum extent permitted by law, YTH TRADING INC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use our services
• Any conduct or content of any third party on our services
• Any content obtained from our services
• Unauthorized access, use, or alteration of your transmissions or content

Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you to us for services in the twelve months preceding the claim, or one thousand dollars, whichever is greater.

You agree to indemnify, defend, and hold harmless YTH TRADING INC and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these terms or your use of our services.

We reserve the right to suspend or terminate your access to our services at any time, with or without cause, with or without notice, effective immediately. Upon termination, your right to use our services will immediately cease.

Either party may terminate a service agreement in accordance with the termination provisions specified in that agreement. Termination does not relieve either party of obligations incurred prior to termination.

13. Dispute Resolution

13.1 Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

13.2 Arbitration

Any dispute, controversy, or claim arising out of or relating to these terms or our services shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall take place in Los Angeles County, California.

13.3 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and us individually. To the full extent permitted by law, no arbitration or proceeding shall be joined with any other, no dispute shall be arbitrated on a class-action basis, and you waive any right to participate in a class-action lawsuit or class-wide arbitration.

14. Modifications to Terms

We reserve the right to modify these terms at any time. We will provide notice of material changes by posting the updated terms on our website with a new effective date. Your continued use of our services after such changes constitutes acceptance of the modified terms.

15. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these terms shall otherwise remain in full force and effect and enforceable.

16. Entire Agreement

These terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between you and YTH TRADING INC regarding our services and supersede all prior agreements and understandings, whether written or oral.

Our failure to enforce any right or provision of these terms will not be considered a waiver of those rights. Any waiver of any provision of these terms will be effective only if in writing and signed by an authorized representative of YTH TRADING INC.

19. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

20. Export Compliance

You agree to comply with all applicable export and import control laws and regulations in your use of our services. You represent that you are not located in a country subject to a U.S. government embargo or designated as a terrorist-supporting country, and that you are not on any U.S. government list of prohibited or restricted parties.
